Terms & Agreements

These Terms & Agreements (“Agreement”) govern the access to and use of services, platforms, systems, and logistics operations provided by Safari Heritage Logistics (“the Company”, “we”, “us”, or “our”). By engaging our services, you acknowledge and agree to be legally bound by this Agreement.

1. Scope of Services

Safari Heritage Logistics provides logistics, freight forwarding, transportation, shipment handling, tracking, and related operational services, including associated digital platforms. Certain services may be governed by supplemental agreements, tariffs, or service schedules.

2. Eligibility and Contractual Authority

You represent that you have full legal capacity to enter into this Agreement. Where acting on behalf of a legal entity, you warrant that you are duly authorized to bind such entity in accordance with applicable law of the Russian Federation.

3. Customer Obligations

  • Provide accurate, lawful, and complete shipment and business information
  • Ensure compliance with Russian and international customs, export, and import regulations
  • Secure all required permits, licenses, and declarations
  • Maintain confidentiality of access credentials

4. Prohibited Activities

  • Shipment of prohibited, restricted, or sanctioned goods without lawful authorization
  • Submission of false or misleading documentation
  • Interference with logistics systems, tracking infrastructure, or security controls
  • Use of services in violation of Russian Federation laws or international sanctions regimes

5. Pricing, Charges, and Payments

Fees shall be agreed in advance or pursuant to published tariffs. All prices exclude applicable taxes, customs duties, port charges, and governmental fees unless expressly stated otherwise. Late payments may incur penalties as permitted under Russian law.

6. Service Performance

Services are provided using commercially reasonable efforts. Transit times are estimates only and do not constitute guaranteed delivery dates.

7. Freight Liability and Risk Allocation

To the extent applicable, the Company’s liability for loss of or damage to cargo shall be governed by mandatory international conventions recognized by the Russian Federation, including:

  • The Hague-Visby Rules for carriage of goods by sea
  • The Convention on the Contract for the International Carriage of Goods by Road (CMR)
  • Relevant provisions of the Civil Code of the Russian Federation

Unless otherwise agreed in writing, the Company’s liability shall be limited to the higher of: (a) the limits prescribed under the applicable convention; or (b) the limits established under mandatory Russian law. The Company shall not be liable for indirect or consequential losses, including loss of market, profit, or business opportunity.

The Company shall not be responsible for loss or damage arising from inherent defects of the goods, insufficient packaging, acts of public authorities, force majeure, or circumstances beyond reasonable control.

8. Insurance

Cargo insurance is not included unless expressly agreed in writing. Customers are strongly advised to procure adequate insurance coverage independently.

9. Indemnification

The Customer agrees to indemnify and hold harmless Safari Heritage Logistics against all claims, liabilities, penalties, damages, and expenses arising from inaccurate declarations, regulatory violations, or breach of this Agreement.

10. Intellectual Property

All systems, software, trademarks, documentation, and operational materials remain the exclusive property of Safari Heritage Logistics. No intellectual property rights are transferred.

11. Suspension and Termination

The Company may suspend or terminate services where required by law, regulatory order, sanctions compliance, or material breach of this Agreement.

12. Customer Service Agreement (Enterprise Clients)

This section applies exclusively to enterprise and corporate customers (“Enterprise Clients”).

12.1 Service Levels

Safari Heritage Logistics shall provide services in accordance with agreed service specifications, operational schedules, and documented procedures. Any service-level commitments must be expressly agreed in writing.

12.2 Dedicated Account Management

Enterprise Clients may be assigned a dedicated account manager responsible for coordination, reporting, and escalation handling.

12.3 Reporting and Audits

The Company may provide operational reports as agreed. Audits, where permitted, shall be conducted during normal business hours and subject to confidentiality obligations.

12.4 Confidentiality

Both parties agree to maintain strict confidentiality of all non-public commercial, technical, and operational information, in accordance with Russian trade secret and civil law.

12.5 Term and Termination

CSA arrangements shall remain in effect for the agreed term and may be terminated for material breach, insolvency, or legal impossibility, subject to written notice.

13. Privacy and Data Protection

Personal data is processed in accordance with Federal Law No. 152-FZ “On Personal Data” and the Company’s Privacy Policy.

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Russian Federation, unless otherwise required by mandatory law.

15. Amendments

Safari Heritage Logistics reserves the right to amend this Agreement. Continued use of services constitutes acceptance of any revised terms.
